Terms of Service

These Terms of Service ("Terms") set out the basis on which Higham Digital ("we", "us", "our") provides its web design, SEO, branding, hosting and maintenance services. Higham Digital is a sole trader business based in Cambridgeshire, United Kingdom, operating across the UK.

By engaging our services or using our website, you ("the Client", "you") agree to these Terms. Individual projects are also covered by a separate written agreement issued to you at the start of your project; where that agreement and these Terms differ, the individual agreement takes precedence.

1. Our services

We provide website design and development, search engine optimisation (SEO), local search and Google Business Profile management, brand and logo design, and ongoing hosting and maintenance. The specific services, deliverables, timescales and price for your project will be confirmed in your individual written agreement before work begins.

2. Quotes and agreements

All quotes are provided in writing and are valid for 30 days unless stated otherwise. Work begins once you have accepted your quote, agreed the project scope, and paid the required deposit (see section 3). Any work requested beyond the agreed scope may be quoted and charged separately.

3. Payment terms

• ✓A 50% deposit of the total project fee is payable upfront before work begins.
• ✓The remaining 50% balance is payable on completion, before the website is published or final files are handed over.
• ✓Ongoing services such as SEO, hosting and maintenance are billed as set out in your individual agreement (for example, monthly in advance).
• ✓Invoices are due within the period stated on the invoice. We reserve the right to pause work or suspend services on overdue accounts.

4. Client responsibilities

To deliver your project on time, we rely on you to:

• ✓Provide any content, images, logos, and information we need in a timely manner;
• ✓Confirm you have the right to use any materials you supply to us;
• ✓Review and provide feedback at agreed stages without unreasonable delay.

We are not responsible for delays caused by late or incomplete information from the Client. Projects left inactive by the Client for an extended period may be treated as cancelled under section 6.

5. Ownership and intellectual property

Once your project is fully paid for, ownership of the final design and website files transfers to you, and you are free to use them. Branding and logo assets are handed over as agreed on final payment.

Where we host and maintain your live website as an ongoing service, the live hosted deployment remains part of that service. If you end your hosting and maintenance with us, the website will be taken offline unless the buyout fee is paid to transfer the live site and its ownership to you (see section 6). We may display your completed project in our portfolio and marketing unless you ask us in writing not to.

6. Cancellation and termination

Hosting & maintenance

• ✓You may cancel your hosting and maintenance service at any time by giving 30 days' written notice.
• ✓On cancellation, your website will be taken offline unless the buyout fee of £500 is paid to transfer ownership of the live site to you.

Design projects

• ✓If you cancel a design project before completion, the 50% deposit is non-refundable, and all work carried out up to the point of cancellation will be invoiced in full. Where a project is substantially complete, this may amount to the entire project fee.

7. Third-party services

Our services may rely on third-party platforms and providers (for example, hosting providers, Webflow, domain registrars, or Google services). We are not responsible for outages, changes, or issues caused by these third parties, though we will always work to resolve any problems on your behalf where we can.

8. Liability

We take great care in delivering our services, but we cannot guarantee specific results such as search rankings, traffic levels, or lead volumes, as these depend on factors outside our control. To the fullest extent permitted by law, our total liability to you for any claim arising from our services is limited to the total fees you have paid us for the service in question. Nothing in these Terms limits our liability where it would be unlawful to do so.

9. Confidentiality and data protection

We treat any confidential information you share with us in connection with your project as confidential. We handle personal data in accordance with our Privacy Policy, which forms part of these Terms.

10. Governing law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated "Last updated" date. The Terms in force at the time your individual project agreement is signed will apply to that project.
